Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of Pronounce, including our website, web application, browser extensions, desktop applications, mobile or web applications, AI speaking tools, speech analysis tools, pronunciation feedback, grammar feedback, vocabulary suggestions, reports, subscriptions, and related services.

These Terms form a legally binding agreement between you and Pronounce Inc. (“Pronounce,” “we,” “us,” or “our”).

By accessing or using Pronounce, creating an account, starting a trial, purchasing a subscription, installing a browser extension or application, or otherwise using our services, you agree to these Terms. If you do not agree, do not use Pronounce.

These Terms should be read together with our Privacy Policy, Cookie Policy, and Children’s Privacy, School Privacy Notice, where applicable.

1. Eligibility

You may use Pronounce only if you can form a legally binding contract with Pronounce and only in compliance with these Terms and all applicable laws.

If you use Pronounce on behalf of a company, school, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

If you create, manage, or authorize an account for another person, including a child, student, employee, or organization user, you represent that you have the legal authority to do so.

2. Pronounce Services

Pronounce provides speech-learning and communication-improvement tools, which may include:

  • Speech recording
  • Audio analysis
  • Transcription
  • Pronunciation feedback
  • Grammar feedback
  • Vocabulary suggestions
  • Fluency, pace, pause, filler-word, and speaking-score analysis
  • AI speaking practice
  • Role-play conversations
  • Custom practice materials
  • Reports and progress tracking
  • Browser extension features
  • Desktop application features
  • Integrations with third-party tools or platforms

We may add, modify, suspend, or discontinue features at any time.

Pronounce is a learning and productivity tool. We do not guarantee that using Pronounce will produce any specific educational, professional, immigration, testing, employment, or communication outcome.

3. Privacy

Your use of Pronounce is subject to our Privacy Policy.

Our Privacy Policy explains how we collect, use, disclose, retain, and protect information, including audio recordings, transcripts, account information, device information, and learning activity.

Our Cookie Policy is provided separately.

If Pronounce is used by children, students, schools, teachers, parents, guardians, or educational organizations, our Children’s Privacy, School Privacy Notice may also apply.

4. Accounts

You may need an account to use certain Pronounce features.

You agree to provide accurate, current, and complete account information and to keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us promptly if you believe your account has been compromised.

Pronounce is not responsible for losses caused by your failure to protect your account credentials or by unauthorized access resulting from your actions or omissions.

5. Account Deletion

You may delete your account through your user account settings where account deletion is available.

When you delete your account, Pronounce processes deletion of account-related data in accordance with our deletion process and Privacy Policy, subject to legally permitted retention, backup retention, fraud-prevention needs, security needs, tax and accounting obligations, dispute resolution, and other lawful purposes.

Some information may remain in backups, logs, billing records, legal records, aggregated data, de-identified data, or records we are legally or operationally required to maintain.

Deleting your account may not automatically cancel a subscription purchased through a third-party app store, marketplace, payment provider, or platform. You are responsible for canceling subscriptions through the appropriate provider or account settings.

6. User Content

“User Content” means any content you submit, upload, record, provide, generate, transmit, or process through Pronounce, including:

  • Audio recordings
  • Speech samples
  • Transcripts
  • Text prompts
  • Practice materials
  • AI chat messages
  • Custom words
  • Uploaded content
  • Account information
  • Feedback or support messages

You retain any rights you have in your User Content.

You grant Pronounce a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, copy, process, transmit, display, analyze, modify, create derivative works from, and otherwise use User Content as needed to provide, maintain, secure, support, and improve Pronounce, comply with law, enforce these Terms, and operate our business.

You represent and warrant that you have all rights, permissions, and consents necessary to submit and process User Content through Pronounce.

You are solely responsible for your User Content and the consequences of submitting, recording, uploading, sharing, or processing it through Pronounce.

7. Audio Recording and Consent

Pronounce may allow you to record, upload, analyze, or process speech, meetings, calls, conversations, or other audio.

Recording laws vary by jurisdiction. Some locations require consent from all parties before recording a conversation.

You are solely responsible for:

  • Knowing and following the laws that apply to your recordings
  • Obtaining all required consents
  • Notifying participants where required
  • Avoiding unlawful, secret, harmful, or unauthorized recordings
  • Ensuring you have the right to upload or process audio through Pronounce

You may not use Pronounce to record or process audio in violation of law or the rights of others.

Pronounce is not responsible for your failure to obtain required recording consent.

8. Sensitive Information

Do not submit sensitive, confidential, regulated, or third-party information through Pronounce unless you have the right to do so and accept the risks of processing that information through online services.

This may include:

  • Medical information
  • Financial information
  • Legal information
  • Government identifiers
  • Passwords
  • Trade secrets
  • Private communications
  • Information about children
  • Information about other people
  • Confidential business information
  • Regulated personal information

Pronounce is not responsible for sensitive information you choose to submit in violation of these Terms or our Privacy Policy.

9. AI and Automated Features

Pronounce uses artificial intelligence, machine learning, automated speech analysis, transcription, and related technologies to provide features such as:

  • Speech-to-text transcription
  • Pronunciation feedback
  • Grammar feedback
  • Vocabulary suggestions
  • Speaking-practice conversations
  • Role-play responses
  • Learning recommendations
  • Progress reports

AI and automated outputs may be inaccurate, incomplete, delayed, offensive, inappropriate, or not suitable for your specific circumstances.

You are responsible for reviewing and evaluating any output before relying on it.

Pronounce does not guarantee that AI-generated or automated feedback will be accurate, error-free, suitable for a particular purpose, or accepted by any teacher, employer, school, institution, examiner, immigration authority, certification body, or other third party.

You should not rely on Pronounce as your sole source of advice for legal, medical, financial, educational, employment, immigration, or other high-stakes decisions.

10. Third-Party Providers

Pronounce may use third-party providers to support hosting, storage, speech processing, transcription, AI processing, analytics, error monitoring, payment processing, email delivery, customer support, security, and other business operations.

We do not list all providers in these Terms because providers may change from time to time.

Third-party providers operate under their own systems, policies, infrastructure, terms, and legal obligations. To the maximum extent permitted by law, Pronounce is not responsible for the independent acts, omissions, security incidents, model-training practices, data-handling practices, service interruptions, or legal compliance failures of third-party providers.

We do not intentionally permit third-party providers to use your personal information for purposes unrelated to providing services to Pronounce. However, we may not obtain separate written commitments from every provider regarding every internal data use, including model-training restrictions.

Your use of Pronounce means you understand that data may be processed by third-party providers as necessary to operate the service.

11. Third-Party Services and Integrations

Pronounce may link to, integrate with, or operate alongside third-party websites, applications, browsers, app stores, meeting tools, payment providers, login providers, platforms, or services.

Your use of third-party services is governed by their own terms and policies.

Pronounce is not responsible for third-party services, including their privacy practices, security, availability, functionality, content, pricing, billing practices, or support.

We may modify or discontinue integrations at any time.

12. Acceptable Use

You agree not to use Pronounce to:

  • Violate any law or regulation
  • Violate the rights of others
  • Record anyone without required consent
  • Upload or process content you do not have the right to use
  • Submit unlawful, harmful, abusive, harassing, defamatory, obscene, hateful, violent, or discriminatory content
  • Submit malware, viruses, or harmful code
  • Interfere with or disrupt Pronounce
  • Attempt to gain unauthorized access to Pronounce or related systems
  • Reverse engineer, copy, scrape, crawl, or extract data from Pronounce except as permitted by law
  • Circumvent usage limits, payment requirements, security features, or access controls
  • Use Pronounce to build or train a competing product or service
  • Resell, sublicense, rent, lease, or commercially exploit Pronounce without our written permission
  • Misrepresent your identity or affiliation
  • Use Pronounce for surveillance, unlawful monitoring, or unauthorized workplace, school, or personal tracking
  • Use Pronounce in a way that could harm Pronounce, users, or third parties

We may suspend or terminate access if we believe you violated these Terms or used Pronounce in a harmful, unlawful, or abusive way.

13. Children, Students, Parents, Guardians, and Schools

Pronounce may be used by children, students, parents, guardians, teachers, schools, universities, tutoring organizations, or educational organizations only where permitted by law and in accordance with these Terms, our Privacy Policy, and our Children’s Privacy / School Privacy Notice.

If you create, manage, authorize, or supervise a child or student account, you represent that you have authority to do so.

Parents, guardians, schools, teachers, and authorized administrators are responsible for:

  • Determining whether Pronounce is appropriate for the child or student
  • Providing required notices
  • Obtaining required consents
  • Managing account access
  • Supervising use
  • Complying with laws that apply to them
  • Ensuring that children or students do not submit inappropriate or unnecessary sensitive information

Pronounce does not independently verify every claimed parent-child relationship, guardianship relationship, school relationship, teacher relationship, or administrator relationship unless required by law or operationally necessary.

14. School and Organization Accounts

If Pronounce is used through a school, university, employer, company, or other organization, your account may be controlled or administered by that organization.

The organization may have access to account information, usage activity, reports, transcripts, learning progress, and other information associated with the organization account.

The organization is responsible for:

  • Authorizing users
  • Managing administrators
  • Providing notices
  • Obtaining required consents
  • Responding to user, parent, student, or employee requests where required
  • Complying with applicable laws
  • Managing organization-controlled accounts

If you are an organization administrator, you represent that you have authority to manage the account and bind the organization to these Terms.

15. Subscriptions, Trials, Payments, and Billing

Some Pronounce features require payment.

By starting a trial, purchasing a subscription, or otherwise providing payment information, you authorize Pronounce or its payment providers to charge applicable fees, taxes, and other amounts.

Subscription fees, features, limits, renewal periods, and prices may vary by plan, location, platform, promotion, currency, app store, payment provider, or time of purchase.

Unless otherwise stated, subscriptions automatically renew until canceled.

You are responsible for canceling your subscription before renewal if you do not want to be charged.

Canceling your account may not automatically cancel your subscription if the subscription is managed by a third-party app store, marketplace, or payment provider.

Payments are processed by third-party payment providers. Pronounce does not store full credit card numbers.

16. Free Plans, Trials, Promotions, and Discounts

Pronounce may offer free plans, trials, promotions, discounts, referral credits, or limited-time offers.

We may change, limit, revoke, or discontinue free plans, trials, promotions, discounts, referral credits, or offers at any time.

Trial eligibility may be limited. Unless otherwise stated, a trial may convert to a paid subscription unless canceled before the trial ends.

Promotional pricing may apply only for a limited period and may renew at the regular price unless otherwise stated.

17. Refunds

Refund availability may depend on the plan, platform, app store, payment provider, jurisdiction, and applicable law.

Unless required by law or stated otherwise at the time of purchase, payments are non-refundable.

If you purchased through a third-party app store, marketplace, or payment provider, refund requests may need to be made directly through that provider and may be subject to that provider’s refund policies.

Pronounce may provide refunds, credits, or exceptions at its discretion, but doing so does not create an obligation to provide similar refunds, credits, or exceptions in the future.

18. Taxes

Prices may not include taxes, duties, levies, or similar charges unless stated otherwise.

You are responsible for all applicable taxes related to your purchase or use of Pronounce.

We or our payment providers may collect taxes where required by law.

19. Changes to Pricing, Plans, and Features

We may change prices, plans, features, usage limits, trial terms, or subscription terms from time to time.

For active subscriptions, changes will apply as permitted by law, your subscription terms, app store rules, or payment provider rules.

We may add, modify, suspend, or discontinue any feature or service at any time.

20. Intellectual Property

Pronounce and its software, website, applications, browser extensions, designs, logos, trademarks, service marks, graphics, interfaces, reports, feedback systems, algorithms, models, documentation, content, and other materials are owned by Pronounce or its licensors and are protected by intellectual property laws.

Except for the limited right to use Pronounce under these Terms, we do not grant you any ownership rights in Pronounce or its intellectual property.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from Pronounce except as permitted by law or with our written permission.

21. Feedback

If you submit ideas, suggestions, comments, reviews, bug reports, feature requests, or other feedback, you grant Pronounce a worldwide, perpetual, irrevocable, royalty-free, sublicensable, transferable license to use, modify, commercialize, and otherwise exploit that feedback without restriction or compensation to you.

22. Beta, Experimental, and Preview Features

Pronounce may offer beta, experimental, early-access, preview, or test features.

These features may be unstable, inaccurate, incomplete, unavailable, or discontinued at any time.

We provide beta and experimental features “as is” and without warranties.

23. Availability and Service Changes

We do not guarantee that Pronounce will be available, uninterrupted, secure, or error-free.

Pronounce may be unavailable due to maintenance, updates, outages, provider failures, security issues, technical problems, or events outside our control.

We may modify, suspend, or discontinue any part of Pronounce at any time.

24. Disclaimers

To the maximum extent permitted by law, Pronounce is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise.

Pronounce disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and security.

Pronounce does not warrant that:

  • The service will meet your needs
  • The service will be uninterrupted, secure, or error-free
  • Speech analysis or AI feedback will be accurate
  • Transcripts will be complete or correct
  • Reports will be accepted by any school, employer, institution, examiner, or third party
  • Errors will be corrected
  • The service will improve your English, communication, pronunciation, grammar, fluency, test score, job prospects, or other outcome

Some jurisdictions do not allow certain warranty disclaimers, so some disclaimers may not apply to you.

25. Limitation of Liability

To the maximum extent permitted by law, Pronounce and its officers, directors, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including damages for lost profits, lost revenue, lost data, loss of goodwill, business interruption, personal injury, emotional distress, educational outcomes, employment outcomes, or other intangible losses.

To the maximum extent permitted by law, Pronounce’s total liability for any claim related to Pronounce, these Terms, the Privacy Policy, the Cookie Policy, the Children’s Privacy,School Privacy Notice, or your use of the service will not exceed the greater of:

  • The amount you paid to Pronounce for the service during the three months before the event giving rise to the claim; or
  • Ten U.S. dollars (US $10)

These limitations apply whether the claim is based on contract, tort, negligence, strict liability, warranty, statute, or any other legal theory, even if Pronounce has been advised of the possibility of damages.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

26. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Pronounce and its officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

  • Your use of Pronounce
  • Your User Content
  • Your violation of these Terms
  • Your violation of law
  • Your violation of the rights of another person or entity
  • Your failure to obtain recording consent
  • Your use of Pronounce with children, students, employees, schools, organizations, or third parties
  • Your misuse of AI or automated outputs
  • Your account activity

We reserve the right to control the defense of any matter subject to indemnification, and you agree to cooperate with us.

27. Suspension and Termination

We may suspend, restrict, or terminate your access to Pronounce at any time if we believe:

  • You violated these Terms
  • You violated applicable law
  • Your use creates risk or potential harm
  • Your account is involved in fraud, abuse, or security issues
  • Your payment fails
  • We are required to do so by law
  • We discontinue the service or relevant feature

You may stop using Pronounce at any time.

Sections that by their nature should survive termination will survive, including provisions related to intellectual property, User Content licenses, payments, disclaimers, limitation of liability, indemnification, arbitration, governing law, and dispute resolution.

28. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, unless applicable law requires otherwise.

If you are a consumer in a jurisdiction where local law gives you mandatory rights that cannot be waived, those mandatory rights are not limited by this governing-law clause.

29. Informal Dispute Resolution

Before filing a claim, you and Pronounce agree to try to resolve the dispute informally.

The party raising a dispute must send written notice describing the dispute, the requested relief, and contact information.

Notices to Pronounce must be sent to support@getpronounce.com with the subject line “Legal Dispute Notice.”

The parties agree to attempt in good faith to resolve the dispute for at least 30 days before starting arbitration or court proceedings, unless emergency relief is needed or applicable law allows otherwise.

30. Binding Arbitration

To the maximum extent permitted by law, you and Pronounce agree that any dispute, claim, or controversy arising out of or relating to these Terms, Pronounce, your account, subscriptions, payments, the Privacy Policy, the Cookie Policy, the Children’s Privacy, School Privacy Notice, or any related service will be resolved by binding arbitration rather than in court.

The arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable consumer arbitration rules, unless the parties agree otherwise or AAA is unavailable.

If AAA is unavailable or refuses to administer the arbitration, the parties will select another neutral arbitration provider. If the parties cannot agree, a court of competent jurisdiction may appoint an arbitrator.

The arbitration will be conducted in English.

The arbitration may be conducted by video conference, telephone, written submissions, or in person, as determined by the arbitrator and applicable rules.

The arbitrator will have authority to grant any individual relief that would be available in court, subject to these Terms.

The arbitrator’s decision will be final and binding, except for any appeal rights available under applicable law.

Judgment on the arbitration award may be entered in any court with jurisdiction.

31. Arbitration Exceptions

Either party may bring the following claims in court instead of arbitration:

  • Claims that qualify for small claims court
  • Claims seeking emergency injunctive relief
  • Claims related to intellectual property infringement or misuse
  • Claims that cannot be arbitrated under applicable law

32. Class Action Waiver

To the maximum extent permitted by law, you and Pronounce agree that disputes must be brought only on an individual basis.

You and Pronounce waive the right to bring, join, or participate in any class action, collective action, consolidated action, representative action, private attorney general action, or jury trial.

The arbitrator may not consolidate claims or preside over any class, collective, consolidated, or representative proceeding unless both parties agree in writing.

If this class action waiver is found unenforceable as to a particular claim, then that claim must proceed in court and not in arbitration, unless the parties agree otherwise.

33. Jury Trial Waiver

To the maximum extent permitted by law, you and Pronounce waive any right to a jury trial for any dispute not subject to arbitration.

34. Time Limit to Bring Claims

To the maximum extent permitted by law, any claim or dispute related to Pronounce or these Terms must be brought within one year after the claim arises.

If applicable law does not allow a one-year limit, the shortest legally permitted period applies.

35. App Stores and Platform Terms

If you download or purchase Pronounce through an app store, browser marketplace, extension store, operating system store, or other platform, that platform’s terms may also apply.

The platform provider is not responsible for Pronounce unless required by its own terms or applicable law.

Subscription cancellation, refunds, billing, and account management may need to be handled through the platform where you purchased the subscription.

36. Export and Sanctions Compliance

You may not use Pronounce if you are located in a country or region subject to applicable embargoes or sanctions, or if you are listed on any applicable restricted-party list.

You agree to comply with all applicable export control and sanctions laws.

37. Changes to These Terms

We may update these Terms from time to time.

When we update the Terms, we will revise the effective date. We may provide additional notice where required by law or where we determine that changes are material.

Your continued use of Pronounce after updated Terms become effective means you accept the updated Terms, where permitted by law.

If you do not agree to updated Terms, you must stop using Pronounce.

38. Assignment

You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent.

Pronounce may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.

39. Severability

If any part of these Terms is found invalid, illegal, or unenforceable, the remaining parts will remain in full force and effect.

The invalid, illegal, or unenforceable provision will be interpreted or replaced to achieve the original purpose as closely as permitted by law.

40. No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision later.

Any waiver must be in writing and signed by an authorized representative of Pronounce.

41. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Children’s Privacy, School Privacy Notice, and any applicable plan, subscription, school, business, or written agreement, form the entire agreement between you and Pronounce regarding your use of Pronounce.

If there is a conflict between these Terms and another written agreement signed by Pronounce, the signed written agreement controls for the subject matter it covers.
